Question 1:
This program will create the document indicated. Please be sure
that this is what you want to write before starting. You can
return to the main menu and select another module by pressing the
"escape" (Esc) key.
The document you have selected, a Work for Hire agreement, is a
contract between a customer and an independent contractor to allow
the customer to hire the contractor to perform a job or jobs for
the customer. Specifically, this agreement is to be used when the
contractor is not to become the "employee" of the customer, but the
contractor will provide his or her own taxes, insurance, etc.
Question 2:
This is the person who is hiring the contractor. It can be a
company name or an individual name, as necessary.

This is the person who is being hired to work by the customer. It
can be a company name or the name of an individual.

The program allows a great deal of flexibility in specifying
exactly what the contractor will do. In some cases the contractor
will be hired for a specific job, regardless of the number of hours

question. However, if the contractor is going to be obligated to
work an identifiable number of hours then this needs to be
affirmatively answered.

You will have the opportunity to designate certain tasks that the
contractor will do for the customer.

answer yes to this question.
Question 17:
This will allow you to designate the sixth and final item that the
contractor will be doing. You can, of course, list several items in
answer to this question to allow you to designate more than six
tasks.
Question 18:
Having chosen the option in the program that will allow you to
specify that the contractor will work a certain number of hours,
you need to put into your document that number.
Question 19:
Here, you can identify the number of days that the contractor will
work.
Question 20:
You need to specify if the contractor is to perform specific tasks,
but is to work on them only for a certain number of hours each day.
Question 21:
Assuming that the contractor is to work only for a specific number
of hours, please write that number.
Question 22:

will be doing.

If there is another task that the contractor will be doing, then
answer yes to this question.
Question 32:
This will allow you to designate the sixth and final item that the
contractor will be doing. You can, of course, list several items in
answer to this question to allow you to designate more than six
tasks.
Question 33:
This is simply a yes/no question. Most of the time in this type of
agreement, the contractor is not paid by the hour but by the job or
task. However, the program allows you the flexibility to designate
that the contractor will be paid by the hour if you so desire. It
will not, however, allow you to do more than identify that the
payment will be based on the hours worked, since the final document
could then be construed as an agreement with an employee rather
than an independent contractor.
Question 34:
Usually, this will be the case and the contractor will be paid for
the job or task completed. Please, simply enter the amount of the
payment.
Question 35:
If the contractor is to be paid weekly, this question can be
answered in the affirmative.
Question 36:
Having specified that the contractor is to be paid by the week, you
need to identify how much he or she will be paid. You needn't put
the "$" sign as it will automatically appear in your finished
document.
Question 37:
If the contractor is to be paid daily, this question can be
answered in the affirmative.
Question 38:
Having specified that the contractor is to be paid by the day, you
need to identify how much he or she will be paid. You needn't put
the "$" sign as it will automatically appear in your finished
document.
Question 39:
If the contractor is to be paid monthly, this question can be
answered in the affirmative.
Question 40:
Having specified that the contractor is to be paid by the month,
you need to identify how much he or she will be paid. You needn't
put the "$" sign as it will automatically appear in your finished
document.
Question 41:
The program will allow you to specify that the contractor is to be
paid in relation to the work completed. For example, "he or she is
to receive half of the total for the job when 50% of the work is
done." You can designate as many payments as you want, although if
you are going to have the contractor paid in more than four parts,
an exhibit will need to be attached. Otherwise, the body of the
text will define the payments as you indicate.
Question 42:
Answering "yes" to this question, will direct the program to create
an exhibit for you so you can specify the payments that the
contractor is to receive.
Question 43:
If you are designating the percentage of completion of work that
the contractor will accomplish before being paid, then you can
specify that he or she is to be paid in two portions.

You can designate that the contractor will only have a certain
number of days in which to complete the job or tasks, such as

Question 62:
Sometimes, unforeseen circumstances arise which keep a job from
being completed. Weather, for example, is one such circumstance
that can interfere with a time table. Here, you can give the
contractor extra latitude if it becomes necessary.
Question 63:
If there are written specifications for the job, it is necessary to
attach them to this agreement. Often, it is a good idea to have a
written statement of exactly what is contemplated in the job,
because it will avoid misunderstandings later.
Question 64:
If the contractor is going to give the rights to the finished
product to the customer, this should be answered affirmatively.
This type of clause is especially useful if the contractor is
creating something for the customer, such as a computer software
program.
Question 65:
Depending on what the contractor will be doing, it is a good idea
to have insurance particularly where he or she will be doing some
kind of construction work.
Question 66:
If there is to be insurance, it is a good idea to name the customer
as an additional insured so he or she can file a claim under the
policy, if necessary. If the insurance that the contractor has is
a general policy that is carried to cover many different jobs, then
this may not be possible.
Question 67:
It is often cheaper to arbitrate a dispute than to go to court to
resolve it. This clause allows you to specify that any problem
must be arbitrated rather than litigated in court. Arbitration is
available in all of the major cities in the United States and in
many rural areas, although before using this clause you might check
with an attorney in your area to make sure that some form of
arbitration is available.
Question 68:
In many states it is necessary to have a clause like this in a
contract to enable the prevailing party in a dispute to be
reimbursed for attorney's fees. The cost of legal help is becoming
such that if you can't get fees from the other side if they breach
the agreement, then it could be too expensive to proceed against
them to enforce your rights. Thus, this kind of clause is often a
very good idea. If you are not sure that you can get fees in your
state or territory without this clause, then it is recommended.
Question 69:
The city or town that the agreement will be signed in needs to
be specified. If you are going to execute the agreement in a rural
area (not in a city or town) then use the name of the closest city
or town.
